VM Tarm a/s' Policy for Protection of Personal Data

VM Tarm a/s ("VM Tarm") and all our associated companies or group companies, subsidiaries, and affiliated companies take the handling of personal data very seriously. VM Tarm ensures a reasonable and transparent handling of personal data in accordance with all applicable laws as well as local and international regulations, including the EU's General Data Protection Regulation ("GDPR"). VM Tarm protects personal data and the privacy of individuals across all business areas in accordance with the terms of this privacy policy for VM Tarm a/s ("Privacy Policy").

1. Personal Data and the Data Subject

In this Privacy Policy, the term "Personal Data" covers any information relating to an identified or identifiable natural person ("The Data Subject"). An identifiable natural person is one who can be identified, directly or indirectly, by reference to an identifier, such as a name, identification number, or online identifiers.

Personal data is generally categorized as either "General Personal Data" or "Sensitive Personal Data". Sensitive Personal Data is always confidential and includes race or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic and biometric data, health, and sexual orientation. General Personal Data is partially confidential and includes, but is not limited to, name, customer number, contact information such as email and phone number, photos, IP addresses, other usage data collected via cookies, information about criminal offenses, and national identification numbers as well as information about a person's salary, pension, debt, application materials in connection with employment, etc.

This Privacy Policy applies to all personal data that VM Tarm collects and processes about individuals, including, but not limited to, visitors, customers, suppliers, other stakeholders, and users of VM Tarm's website and services.

3. Legal Grounds for Processing Personal Data

VM Tarm may process personal data if one of the following options applies:

  • The individual person/business has given prior consent to the processing of their personal data for one or more specific purposes. Note: Under certain legislation, VM Tarm may be permitted to process personal data until an individual objects to such processing ("Opt-Out"), without relying on consent or any other of the following legal grounds. However, this does not apply when the processing of personal data is covered by European data protection legislation.
  • The processing of the information is necessary for the performance of a contract and/or any obligations prior to entering into a contract.
  • The processing is necessary to comply with any legal obligations.
  • Processing of personal data is necessary to establish, exercise, or defend any legal claims.
  • The processing relates to a task carried out in the public interest or in the exercise of official authority vested in VM Tarm.
  • The processing is necessary for the purposes of the legitimate interests pursued by VM Tarm or a third party, provided that such interests are not overridden by the interests or fundamental rights of the individual/business. Such legitimate interests may include VM Tarm's interest in developing, marketing, and selling products and providing services, as well as pursuing and maintaining business relationships with customers, suppliers, distributors, partners, and other business relationships.

VM Tarm will, upon request, provide information specifying the specific legal basis applicable to specific processing activities, particularly whether the collection of personal data is a legal or contractual requirement or a requirement necessary to enter into a contract.

Consent and Withdrawal of Consent. To the extent that VM Tarm's processing activities are based on the Data Subject's consent, the Data Subject has the right to withdraw that consent at any time. If the Data Subject withdraws their consent, VM Tarm will cease processing the Data Subject's personal data unless and to the extent that such further processing is permitted or required under applicable personal data law or other applicable laws. The withdrawal of consent does not affect the lawfulness of any processing conducted prior to the withdrawal of consent.

If personal data is processed in connection with a public interest in the exercise of an official authority conferred on VM Tarm, or for the legitimate interests of VM Tarm, an individual may object to such processing by providing a reason related to their specific situation. However, if personal data is processed for direct marketing purposes, an individual may at any time object to such processing without providing any reason by contacting us.

Notice of Statutory or Required Processing. In cases where VM Tarm processes personal data based on a legal obligation or a requirement under a contract, or a requirement that must be met to enter into a contract, the customer is obliged to provide VM Tarm with this information so that VM Tarm can maintain the customer relationship, fulfill the contract and bill for our services, etc. If the customer does not wish to provide VM Tarm with the information VM Tarm requires to comply with contractual and/or legal obligations, the consequence may be that VM Tarm cannot establish or maintain the business relationship.

Individuals are not obliged to provide VM Tarm with personal data in all situations, for example for VM Tarm's marketing or newsletter dispatch. In such cases, the individuals concerned will not be able to receive marketing material and newsletters from VM Tarm.

4. Types of Personal Data and Purpose of Collection

VM Tarm only collects and processes personal data, including Sensitive Personal Data (if such is relevant), for specific, explicit, and legitimate purposes that are relevant to VM Tarm's business. Internal VM Tarm departments and VM Tarm employees who have access to personal data must comply with applicable legal requirements, this Privacy Policy, and internal guidelines.

Employment. VM Tarm collects and processes personal data, including Sensitive Personal Data (if such is relevant), about applicants and candidates for the purpose of employment and in compliance with legal requirements.

Visitors. VM Tarm collects and processes personal data about visitors for security reasons, including name, title (if relevant), and contact information, and records such information in the visitor log before visitors gain access to VM Tarm's premises.

Users of VM Tarm's website/software. VM Tarm collects personal data about website users/software users either directly or via third parties, which may include: cookies, usage data, name, contact information, and company information, if relevant. The information is collected and processed for marketing, advertising, and analysis purposes while also being used to contact the website/software users (including UR+-users, App users, and VM Tarm Academy users), manage contacts and send messages, remarket, and conduct behaviorally targeted marketing.

For operational and maintenance purposes, VM Tarm and any third-party service providers may collect files that log a user's interaction with the website. Such personal data is obtained based on the consent of the website's users and is automatically collected on VM Tarm's website/software (unless otherwise stated).

VM Tarm's website does not support requests to disable tracking ("Do Not Track"). To find out if any of VM Tarm's third-party service providers respect "Do Not Track" requests, please read the respective privacy policies of the providers.

Users are responsible for all personal data from third parties that the user has received, published, or shared via the website, and users confirm that they have third-party consent to provide VM Tarm such personal data. Users who are unsure which personal data is required are welcome to contact VM Tarm.

Minors' information. VM Tarm's websites and online services are not directed at children under 16 years of age, unless there are very specific cases, such as the issuance of scholarships, where consent from parents and/or the school will be obtained. If VM Tarm holds personal data concerning a child under 16 years of age, VM Tarm will immediately delete such personal data from its respective systems.

Cookies. Any use of cookies or other tracking tools occurring on the website/software or with the owners of third-party services used by the website/software aims to provide the services requested by the user, as well as any other purposes described in this Privacy Policy and the Cookie Policy.

VM Tarm uses cookies to understand and store user preferences, as well as to collect aggregated data about the traffic on the website/software and users' interaction with it, so that we can provide a better experience and better tools in the future. VM Tarm may enter into contracts with third-party service providers to gain a better understanding of VM Tarm's visitors on the website. These service providers are not permitted to use the information they collect on behalf of VM Tarm unless it is used to exercise or improve VM Tarm's business.

Marketing. VM Tarm collects and processes personal data (including name and contact information) about current and new customers, business partners, suppliers, distributors, prospects, individuals, website users, and persons who have subscribed to VM Tarm's newsletters or other electronic marketing materials, as well as in some cases for the following purposes: analysis, contact, contact management and maintenance, as well as sending messages, remarketing, and behaviorally targeted advertising and exhibitions.

If someone signs up with their email on the website (e.g., for a newsletter, fairs, free tickets, etc.) / if they provide their email address in a sign-up box on the website, they will automatically be signed up for the newsletter and can expect to receive these. This will happen until they unsubscribe from the newsletter at the bottom of the email or write to VM Tarm.

Such personal data is collected and processed based on consent for marketing. VM Tarm obtains valid consent via an online form. The marketing department and other involved departments must ensure that consent for marketing is obtained before such personal data is collected and processed.

VM Tarm is permitted to use third parties as service providers to send marketing materials on its behalf, but this may only be done in accordance with applicable legal requirements.

For marketing purposes, VM Tarm may share personal data (including name and contact information) with third parties (e.g., distributors, business partners, and sister companies). Contracts. In connection with sales and purchase transactions, VM Tarm collects and processes personal data, including names, contact information, delivery information, correspondence, and payment information, that are necessary to fulfill VM Tarm's contractual obligations and that may be necessary to comply with export control regulations and other legal obligations.

Accounting and Finance. VM Tarm collects personal data for accounting and financial purposes in accordance with applicable requirements. This information is shared with the accounting department by other internal departments or received directly from the relevant individuals, businesses, or employees and includes information such as name, address, company name, registration number, payment information, and bank details, delivery address, as well as other mandatory information.

Legal Disputes. In the event of a dispute, VM Tarm may store the personal data necessary in the interest of VM Tarm's legitimate interests to ensure that VM Tarm can assert or defend legal claims correctly in court or in stages that could potentially lead to a legal dispute. VM Tarm may need to share this information with third parties such as insurance advisors and/or legal advisors, just as VM Tarm may be required to disclose personal data at the request of government authorities.

5. Location and International Data Transfers

Personal data is processed at VM Tarm's operational offices and other locations where the parties involved in the processing are located. VM Tarm ensures: (i) that personal data is transferred to countries recognized as having an adequate level of protection; or (ii) that the transfer occurs in accordance with appropriate security measures requiring the recipient to process personal data in a manner that essentially complies with legal requirements.

Specific rules apply when VM Tarm transfers personal data from the EU/EEA to third countries or international organizations. When VM Tarm transfers personal data to third countries or international organizations, VM Tarm is required to establish appropriate safeguards prior to the transfer, which are, in practice, established by inserting the European Commission's standard contract clauses ("EU SCCs") or obtaining consent from the Data Subject (art. 49(1)(a) GDPR).

VM Tarm may use electronic communication service providers or share data with partners outside the EU, including countries where personal data protection laws may not be as adequate as in the EU. Transfers to the USA may, for example, involve that under the American FISA 702 (surveillance legislation), U.S. authorities may demand the disclosure of data. In such cases, the legal basis for the transfer is the Data Subject's consent (art. 49(1)(a) GDPR).

In accordance with GDPR, VM Tarm has entered into data processing agreements (DPAs) and/or joint data controller agreements (JDCAs) and/or agreements containing standard contract clauses (SCCs) with external parties and group companies as relevant.

Personal data relating to individuals in the UK ("UK") may be processed by VM Tarm in countries outside the UK. In this regard, the UK International Data Transfer Agreement ("IDTA") and the UK Addendum for the transfer of data from the UK to other countries apply.

Personal data relating to individuals in China may be processed by VM Tarm in countries outside China. Where this occurs, it is done in accordance with local laws, including the Personal Information Protection Law ("PIPL"). As described in this Privacy Policy, VM Tarm may also transfer such personal data to third parties, who may in turn store or transfer the information outside mainland China.

6. Storage Period

The personal data collected by VM Tarm will be processed and stored for as long as required for the purpose for which the personal data was originally collected, and in accordance with Teradyne's Storage Policy. VM Tarm may be allowed to store the personal data for a longer period if VM Tarm has obtained valid consent for the processing activity, to the extent that such consent has not subsequently been revoked. Furthermore, VM Tarm may be required to store the personal data for a longer period when this is necessary to comply with a legal obligation, or when it is necessary to establish, exercise, or defend a legal claim.

When the storage period expires, the personal data must be deleted. Therefore, the right to access, the right to deletion, the right to rectification, and the right to data portability may not be exercised after the expiration of the applicable storage period.

7. Individuals' Rights

Where required by law, VM Tarm shall inform individuals about the purposes of the processing of their personal data, about the right to have their personal data rectified, deleted, or blocked, and about the name of the company responsible for collecting and processing their personal data. In all other cases, users may contact us to clarify which rights are applicable to them.

Individuals have the following rights:

  • Withdrawal of consent – the right at any time to withdraw any previously given consent to the processing of personal data.
  • Objection to the processing of personal data – the right to object to the processing of personal data when such processing is conducted on a legal basis other than consent. Further information is provided in the specific section of this Privacy Policy.
  • Access to personal data – the right to know whether VM Tarm processes personal data, to be informed of certain aspects of the processing, and to receive a copy of the data that is processed.
  • Control and rectification – the right to verify the accuracy of personal data and request it to be updated or rectified.
  • Restriction of the processing of personal data – the right, under certain circumstances, to restrict the processing of their personal data. In such cases, VM Tarm shall not process the said personal data for purposes other than their storage.
  • Deletion or otherwise removal of personal data – the right, under certain circumstances, to have their personal data deleted from VM Tarm.
  • Transfer of personal data to another data controller – the right under certain circumstances to have personal data transferred to another data controller without hindrance.
  • Lodging a complaint – the right to lodge a claim with the relevant data protection authority.

8. Training

To prevent any violations of applicable laws, regulations, and corporate standards, VM Tarm organizes formal data protection training for its staff in accordance with the company's training plan. Data protection training may take place via electronic communication, webinars, or in-person training. All staff members are trained in basic data protection requirements, and certain groups have more advanced training in the processing of personal data, depending on business needs.

9. Ongoing Auditing and Monitoring

Through a combination of external and internal controls, ongoing auditing, and monitoring, VM Tarm seeks to maintain secure data processing and prevent data loss. In cases where challenges are revealed during an audit, the responsible department must prepare a remediation plan, including corrective and preventive measures to mitigate risks and bring procedures and policies in line with legal requirements, corporate standards, and this Privacy Policy.

VM Tarm may choose or be legally required to provide other or additional information regarding the processing of personal data about residents of certain countries, regions, or states.

  • Unless otherwise specified, this Privacy Policy applies to residents of the EU/EEA and the UK as well as other regions.

This notice of privacy protection for residents of California ("Privacy Notice") supplements the information in VM Tarm's Privacy Policy and applies to all visitors, users, and others who are residents of the state of California. VM Tarm has prepared and follows this notice of privacy protection to comply with the California Consumer Privacy Act of 2018 ("CCPA"), and all terms defined in the CCPA have the same meaning when used in this notice of privacy protection.

​VM Tarm will not collect additional categories of Personal Information or use the Personal Information that VM Tarm collects for materially different, unrelated, or incompatible purposes without providing notice of such.

Sharing of Personal Information. VM Tarm may disclose Personal Information to a third party for a business purpose. When VM Tarm discloses Personal Information for a business purpose, VM Tarm enters into a contract that describes the purpose and requires the recipient to both keep the Personal Information confidential and not use it for any purpose other than fulfilling the contract.

​Privacy Rights in California. Under the CCPA, residents of California can make certain requests to VM Tarm regarding Personal Information, notably:

  • the right to access/insight: the specific pieces or categories of the Personal Information that may also be disclosed or sold (if such information exists) to third parties for a business purpose, as well as categories of such third parties to whom this information has been disclosed or sold, and the business or commercial purposes for collecting or selling the Personal Information.
  • the right to request deletion: the right to request the deletion of Personal Information, with certain exceptions.
  • the right to rectification: the right to request the rectification of any inaccuracies in Personal Information considering the nature of the Personal Information and the purpose of processing the Personal Information.
  • the right to opt-out of the sale or sharing of Personal Information: the right to request that VM Tarm not "sell" Personal Information to third parties for payment or other valuable consideration or "share" Personal Information with third parties for behavioral advertising across contexts.
  • the right to restrict the use and disclosure of sensitive Personal Information: the right to require VM Tarm to restrict the use of sensitive Personal Information for certain purposes, including to reasonably perform the services or provide the goods or services.
  • the right to non-discrimination: the right not to be discriminated against in connection with exercising any of the rights described above, with limitations on the processing of Personal Information, e.g., in the case of a request for deletion.
  • "Shine the Light" legislation: Residents of California who have an established business relationship with VM Tarm have the right to know how their information is disclosed to third parties for direct marketing purposes under California's "Shine the Light" law (Civ. Code § 1798.83). VM Tarm does not share Personal Information with third parties for VM Tarm's own direct marketing purposes.

​VM Tarm may only process the request to the extent it is possible to identify individuals in VM Tarm's systems. The request must be submitted as mentioned in section 10 of this Privacy Policy.

​Right to opt-out of the sale or sharing of Personal Information. Unless a Data Subject has exercised their right to opt-out of the sale of Personal Information, VM Tarm may sell Personal Information to third parties for payment or other valuable consideration. The third parties may use such information for their own purposes in accordance with their own privacy statements, which may include reselling this information to other third parties. These third parties may include business partners, third-party advertising networks, social media companies, and other third parties.

​Do not sell or share personal information. Under certain circumstances, an individual may be allowed to use an authorized agent to submit requests on their behalf, where VM Tarm can verify the authorized agent's authority to act on their behalf. To verify the authorized agent's authority, VM Tarm generally requests proof of either (i) a valid power of attorney or (ii) a signed letter containing the name and contact information of the individual who is the subject of the request, the name and contact information of the authorized agent, and a statement of authorization for the request. Depending on the documentation provided and location/residence, VM Tarm may still need to contact the Data Subject separately to confirm the Data Subject's identity in connection with the request and to verify that the authorized agent has permission to act on the Data Subject's behalf.

Appeal of decisions regarding privacy. Depending on the Data Subject's location or the jurisdiction in which the Data Subject resides, the Data Subject may appeal a decision made by VM Tarm regarding the Data Subject's request regarding privacy. All requests for appeal must be submitted in accordance with section 10 of this Privacy Policy.

​Non-discrimination. VM Tarm will not discriminate against you because you exercise any of your rights under the CCPA. Unless permitted under the CCPA, VM Tarm will not:

  • refuse goods or services.
  • ​charge different prices or rates for goods or services, including by providing discounts or other benefits or imposing penalties.
  • ​offer a different level or quality of goods or services.
  • ​suggest that the individual can obtain a different price or rate for goods or services or a different level or quality of goods or services.

​VM Tarm may, however, offer certain financial incentives that are permitted under the CCPA, which may result in different prices, rates, or qualities. Any CCPA-approved financial incentive offered by VM Tarm must reasonably relate to the value of your Personal Information and include written terms that describe the program's essential aspects. Participation in a financial incentive program requires your prior consent, which you may withdraw at any time.

​The Data Subject does not need to create an account with VM Tarm to exercise his or her rights regarding protection of personal data. Before VM Tarm processes the Data Subject's request, VM Tarm must verify the Data Subject's identity and confirm the Data Subject's place of residence. To verify the Data Subject's identity, VM Tarm generally requires either a successful authentication of the Data Subject's account or a matching of sufficient information that the Data Subject has provided to VM Tarm and that is stored in the systems. This process may require VM Tarm to request additional personal information from the Data Subject, including, but not limited to, email address and/or date of the last transaction with VM Tarm.

​VM Tarm will only use Personal Information that is specified in a request for protection of personal rights to review and respond to the request. If the Data Subject chooses not to provide this information, VM Tarm can only process the request to the extent that VM Tarm can identify the Data Subject in the system/systems. VM Tarm cannot process the request if VM Tarm in good faith believes that the request is fraudulent. In such cases, VM Tarm sends a message to the applicant explaining the decision. If VM Tarm is unable to comply with all or part of the Data Subject's request, VM Tarmwill explain the reasons for the denial of the request.
